What the calculator includes
- Our fees, fixed and excluding VAT, depending on the legal form and the level of support.
- Official fees at actual cost: registration with the RCS (Trade and Companies Register) (€105.91 excl. VAT for an SARL or an SA, €14.61 excl. VAT for an SARL-S or a sole trader), registration with the UBO register (RBE) (€15 excl. VAT), fixed registration duty (€75), chancery fees for the business permit (€50). Publication in the RESA and the Luxembourg criminal record extract are free of charge.
- The notary, for an SARL or an SA, shown as a market range: the fee depends on the deed and the notary provides their own quote.
- 17% VAT on our fees and on the LBR fees, the only charges in this list subject to VAT.
Frequently asked questions
Why is share capital not included in the formation cost?
Share capital remains the property of the company: it appears on its balance sheet and funds its activity. Adding it to the fees would distort the real cost of a formation.
How much does an SARL-S cost in Luxembourg?
Excluding fees, the official charges for an SARL-S remain limited: €14.61 excl. VAT for the RCS, €15 excl. VAT for the RBE and €50 in chancery fees for the business permit, with no notary. The capital can be €1.
Do you need a notary to set up a company in Luxembourg?
Yes for an SARL and an SA, which are incorporated by notarial deed. No for an SARL-S, which is incorporated by private deed, or for a self-employed person.
Is the calculator result a quote?
No. It is an estimate. The quote, provided before any payment, sets out our fees and the third-party costs recharged at actual cost.
