What to do after incorporating in Luxembourg? A company is not yet ready to trade. Within the month it declares its beneficial owners to the RBE, obtains its business permit if the activity requires one, registers for VAT and with the CCSS, unlocks its bank account and hands its bookkeeping to a licensed accountant.
Before and around incorporation

The 30 days after registration
- RBE: declaration of beneficial owners within one month of registration.

- Bank: hand over the RCS extract to unlock the account and, depending on the articles, call up unpaid capital.
- Accounting: choice of the licensed accountant, standardised chart of accounts and calendar of filings.

Frequently asked questions
Can you invoice as soon as you are registered at the RCS?
Not always. If the activity requires a business permit, the company must hold it before starting. It also needs a VAT number to invoice most taxable transactions. RCS registration is one step, not a general green light.
What is the first deadline after incorporation?
The declaration of beneficial owners to the RBE, within one month of registration. Any later change must also be declared within the month. It is filed online with the LBR. Failing to do so exposes the company and its managers to criminal penalties under the RBE law.
When must the first annual accounts be filed?
The accounts are approved within 6 months of the year-end and filed with the RCS within one month of approval, at the latest 7 months after the year-end. The first financial year may be shorter or longer than a year depending on the articles.
