Filing with the LBR (Luxembourg Business Registers)

Please note. Business Registration SARL-S is a private advisory firm. It is not the Luxembourg Business Registers (LBR), the economic interest grouping that officially runs the RCS, the RBE and the RESA. Filings and registrations are made with the LBR, at the fees it publishes.

In short

Luxembourg Business Registers (LBR) filings cover the Trade and Companies Register (RCS), the Register of Beneficial Owners (UBO register) and the Electronic Compendium of Companies and Associations (RESA), where filings are published. Filings are made online with a LuxTrust certificate. Any change must be filed within one month.

Frequently asked questions

Do I need a LuxTrust certificate to file with the RCS?

Yes for electronic filing, which is the normal route. A filing can exceptionally be made by appointment at the RCS assistance desk, with an additional fee. Notarial deeds are filed directly by the notary.

Does the LBR check the content of the deeds?

The LBR checks the completeness and formal consistency of the filing against the existing file. It does not check the merits or legal validity of the decision, which is a matter for the company bodies and, where applicable, the notary.

Can the UBO register be consulted like the RCS?

No. The RCS and the RESA are public. Public access to the UBO register has been restricted since the Court of Justice of the European Union judgment of November 2022; authorities and professionals subject to anti-money laundering rules keep access.
