Does a change of manager require a notary?
No, unless the manager’s name appears in the articles and these must be amended. In the usual case, the appointment or removal results from a decision of the shareholders, taken at a meeting or by written resolution, then filed with the RCS through the LBR. Only an amendment to the articles then requires a notarial deed.
What is the deadline to declare the change?
The RCS filing must be made within one month of the decision. It is made through the LBR with the amendment form and the shareholders’ decision, then the change is published in the RESA. Also plan, where relevant, the update of the business permit and the RBE, and notify the bank.
