To amend a Luxembourg company is to change its managers, registered office or articles of association. It requires a decision of the competent body, an RCS filing within one month and a RESA publication. If the articles change, the deed is in principle notarised for a SARL or an SA.

Does every change to a company require a notary?

No. Appointing a manager or moving the registered office, where the articles allow it, is done by a private decision. An amendment to the articles of a SARL or an SA, such as a change of name, purpose or capital, is in principle made by notarial deed.

What is the deadline to declare a change to the RCS?

The filing must be made within one month of the event. The act can be relied on against third parties only once it is published in the RESA. When the articles change, the coordinated version of the articles is also filed no later than one month after signature.

Must the RBE be updated as well?

Only if the change affects the beneficial owners or their details, for example a new shareholder or a change of control. The update is made within one month, online with the LBR. A simple change of registered office address or of a manager who is not a beneficial owner does not require it.
