Domiciliation is not an establishment
A domiciliation address does not count as a physical establishment for the business licence. If your authorised activity is carried out in your own premises, a change of premises must be notified to the Ministry of the Economy within one month, with a copy of the lease. What the law of 31 May 1999 says
Company domiciliation is reserved by law to regulated professions. The provider and the company must enter into a written agreement. The provider must know the real identity of the members of the company bodies and keep the identification documents for five years after the end of the relationship.
The provider may terminate the registered office with immediate effect if the company breaches company law or establishment law, by reasoned registered letter. The termination takes effect on the day it is filed with the RCS, which informs the State Prosecutor. From that filing, the domiciled company no longer has a legal address there. This is why the new agreement should be signed and the new address filed before any termination.

Can I change registered office provider at any time?
Yes, subject to the termination terms of the current agreement: notice period, minimum term, fees still due. The company organises the transfer of its registered office to the new provider and ends the old agreement on a coordinated date. Coordinate both dates so that the company never lacks a legal address.
Do I need a notary to change registered office provider?
Not if the articles authorise the management to move the registered office within Luxembourg or within the municipality. Otherwise, the transfer requires an amendment of the articles, received by notarial deed for a SARL or an SA. Check your articles before planning the transfer.
What happens if the old provider terminates the registered office before the transfer?
From the filing of the termination with the RCS, the company no longer has a legal address there and the State Prosecutor is informed. A new agreement must urgently be concluded and the new address filed, because the absence of an address can lead to judicial dissolution.
Who can be a registered office provider in Luxembourg?
Only regulated professions: credit institutions and other authorised financial or insurance sector professionals, lawyers on list I of the bar or practising under their home title, statutory auditors and other regulated accounting professionals. A major shareholder or a company of the same group cannot act as provider.
Do I need to inform the Ministry of the Economy?
The change of registered office address is filed with the RCS. If the business licence relates to operating premises that also change, that change must be notified within one month to the competent Directorate General, with a copy of the lease.
