What we do not do

Business Registration does not keep the books, does not prepare the annual accounts and does not give legal advice on a dispute. Those tasks belong to an independent licensed accountant and a partner lawyer. Notarial deeds, such as an amendment of the articles of a SARL or an SA, are executed by a notary.

The most frequent decisions follow a known path: change of manager, registered office transfer or transfer of shares. Each leads to a filing of the change with the RCS and, often, an update of the UBO register.

Frequently asked questions

Does a small SARL need company secretarial services?

Its obligations are the same as those of a large company: annual meeting, filing of the accounts, registers, filings within one month. Many managers handle them themselves. Outsourcing is mainly justified when the partners are abroad or changes are frequent.

Do minutes have to be filed with the RCS?

Not all of them. Decisions that change information recorded at the RCS, such as the appointment of a manager or the transfer of the registered office, are filed and published. Others, for example the approval of the accounts, are kept at the registered office, while the approved accounts are filed.

Where are the company’s registers kept?

At the registered office. The register of partners of a SARL and the register of registered shares of an SA must be open to inspection by the partners. A domiciliation agent or a service provider can keep them for the company.

Does company secretarial work include filing the annual accounts?

We can file with the RCS once the accounts have been prepared by the licensed accountant and approved by the meeting. Preparing the accounts themselves remains outside our scope.
