Filing a change with the Luxembourg trade register

Please note. Business Registration SARL-S is a private advisory firm. It is not the Luxembourg Business Registers (LBR), the economic interest grouping that officially runs the RCS, the RBE and the RESA. Filings and registrations are made with the LBR, at the fees it publishes.

In short

To file changes with the RCS Luxembourg means declaring to Luxembourg Business Registers (LBR), within one month of the decision, any change to information recorded in the register. Filing is electronic: request form, supporting document in PDF and payment of fees. The change is published in the RESA and can be relied on against third parties only from that publication.

The exact regime depends on the articles and the legal form. For a SARL-S, formed without a notary, the form of the amending deed is checked case by case.

The RCS is not always enough

A change of partner, manager or registered office may also require an update of the UBO register within one month and a notification to the Ministry of the Economy for the business permit. A filing that is incomplete or inconsistent with the existing file may be refused by the LBR.

Frequently asked questions

What happens if the one-month deadline is missed?

Filing is still possible and should be done without delay. Until it is published, the change cannot be relied on against third parties: a resigned manager may, for example, remain bound towards those who rely on the register. Failing to meet filing obligations also exposes the company to penalties.

Who can make the filing?

A manager of the company or an agent holding a LuxTrust certificate can make the filing. Notarial deeds are filed by the notary who received them, within one month of their signature. Filing is done electronically, on the LBR platform, with the supporting document.

Can the publication date be chosen?

Yes. The filer can ask for publication on the day of filing or on a chosen date, at the latest 15 days after filing. This makes it possible to coordinate the publication with the effective date of the change and to limit the gap between the decision and its enforceability.

Do consolidated articles have to be filed?

Yes. After any amendment of the articles, the company files a consolidated version incorporating the changes, in addition to the amending deed. Third parties thus have an up-to-date and complete text, without having to reconstruct the articles from several successive deeds.

Can a filing be made without LuxTrust?

Exceptionally, a private-deed filing can be made by appointment at the RCS assistance desk, with a surcharge of €80 for a commercial company. As a general rule, filing remains electronic and requires a LuxTrust certificate, so the assistance desk is the exception.
