Forming a company in Luxembourg, in short

Choose the legal form, check whether the activity needs a business permit, sign the articles (before a notary, except for a SARL-S), pay in the capital (a SARL or SARL-S may pay it within 12 months), then register the company with the RCS and declare its beneficial owners in the RBE. VAT registration follows, and social security registration if you hire.

How much does it cost to set up a company in Luxembourg?

Our fees range from EUR 1,499 excl. VAT for a SARL-S on the Essential package to EUR 5,999 excl. VAT for an SA on the End-to-end package. 17% VAT applies, and third-party fees (notary, registration duty, LBR, bank) are recharged at cost and shown in the quote. Share capital is not a cost: it stays in the company’s account.

Can a non-resident form a company in Luxembourg?

Yes. A non-resident can be a shareholder and manager. The End-to-end package avoids travel: power of attorney for the notarial deed, registered office with a law firm, and bank support. The bank remains free to accept or decline the file.

Is a registered office enough for the business permit?

No. The business permit requires a physical establishment in Luxembourg, which a registered address alone does not provide for most activities. We introduce you to a domiciliation law firm and a dedicated office; their cost is never included in our prices.

Do I need a notary?

Yes for a SARL or an SA. No for a SARL-S, which is formed by private deed, or for a sole trader.

Can I form and run a company remotely if I live abroad?

Yes for the formation: neither nationality nor residence is required to be a shareholder or manager. If the activity needs a business permit, however, the manager must ensure effective and permanent management with physical presence at the establishment. An office or registered address does not replace that condition. Forming remotely and operating a permit-regulated activity are separate questions, which we address at diagnosis.
