The new name is not reserved during the procedure

The free-name certificate does not reserve the name. Between the check and the filing of the deed, another company may register under the same name. Schedule the meeting soon after the check, and search the register again just before signing.

What a name change does not change, and what it requires

A name change does not create a new company: the legal entity, its RCS number, its contracts, debts and receivables remain the same. It is enough to inform counterparties, with no new signature of existing contracts.

However, all company documents must carry the new name, together with the legal form, the registered office and the RCS number. Think of invoices, letterhead, electronic signatures, the website and the general terms. The business permit is issued in the company’s name: we recommend informing the Ministry of the Economy of the change so that the documents match.

The RCS manager refuses only a name identical to an existing one; a name close to a protected trademark remains exposed to legal action. Is a notary needed to change the name of a SARL?

Yes, in principle. The name appears in the articles, and the articles of a SARL are amended by a meeting whose decision is recorded in a notarial deed. The notary then handles the filing of the deed with the RCS and its publication in the RESA.

What majority is needed to change the name of a SARL or an SA?

In a SARL, unless the articles say otherwise, an amendment of the articles is decided by a majority of members representing three quarters of the capital. In an SA, the extraordinary meeting deliberates with a quorum of half of the capital and a two-thirds majority of the votes cast. The articles may set stricter rules.

Does the RCS number change with the name?

No. The company keeps its registration number, its VAT number and its legal personality. Only the mention of the name changes in the registers. Existing contracts continue with no new signature; it is enough to inform counterparties, the bank and the authorities.

How long does a name change take?

The timing depends mainly on the notary’s availability and on gathering the members. Once the deed is signed, the RCS filing must be made within one month and publication in the RESA follows. We do not promise a fixed timeline.

Can the old name be kept as a trade name?

A company may use a trade name distinct from its registered name. This trade name is not checked by the RCS. Make sure it does not conflict with a trademark or a name already used by a third party, and that the official name remains shown on invoices and documents.
