Getting an RCS certificate in Luxembourg

The most requested is the certificate of non-registration of a court decision, known as the non-bankruptcy certificate. It costs EUR 4.75 excl. VAT in signed electronic form and EUR 10 excl. VAT on paper.

The RCS certificate is a statement by the manager of the Trade and Companies Register (RCS) confirming that a specific fact is not entered in the register or that a person is not registered there, as provided by article 21 of the Grand-Ducal Regulation of 23 January 2003.

The LBR checks the file. If an insolvency proceeding is entered, the certificate of non-registration of a court decision is not issued.

Do not confuse
The LBR non-bankruptcy certificate concerns an entity entered in the Luxembourg RCS. For a business permit, a manager who is non-resident or has been resident for less than 10 years provides a notarised declaration of non-bankruptcy, drawn up by a notary: this is a different document.
Electronic or paper?
The electronic certificate carries a qualified electronic signature. It is cheaper and is enough for most exchanges with a Luxembourg bank. Some foreign authorities still require a paper original, sometimes apostilled. Since 7 May 2026, Luxembourg also issues electronic apostilles for documents filed through MyGuichet.lu.
A certificate has no legal period of validity, but a recipient often asks for a recent document, less than three months old. For the list of a company’s data, order an RCS extract instead.

What is a non-bankruptcy certificate in Luxembourg?
It is the common name for the certificate of non-registration of a court decision issued by the LBR. It attests that no bankruptcy decision or other collective proceeding is entered in the company’s RCS file on the date of issue. The LBR does not issue it if an insolvency proceeding is entered.
How much does an RCS certificate cost?
According to the LBR fee schedule consulted on 10 October 2026, an electronic certificate with a qualified signature costs EUR 4.75 excl. VAT and a paper certificate with signature EUR 10 excl. VAT. VAT of 17% is added. A EUR 100 surcharge applies to urgent processing of a paper UBO register extract or certificate.
What is the difference between an RCS extract and a certificate?
The extract reproduces the information entered in the register: name, registered office, managers, capital. The certificate, by contrast, confirms the absence of a fact, for example no court decision or no registration. Banks often ask for both for an account opening or a compliance review. The electronic extract costs EUR 10.43 excl. VAT under the same schedule.
Is an electronic certificate accepted abroad?
It depends on the foreign authority. Many accept an electronically signed document, others require an apostilled paper original. Check the requirement before ordering to avoid a second request. Since 7 May 2026, an electronic apostille can be obtained through MyGuichet.lu for an electronic document, which simplifies sending documents to countries party to the Hague Convention.
