An inactive company is not a shortcut
Buying an inactive company rarely saves time: the business permit depends on the manager, not on the company’s age, and tax losses may be refused after a change of shareholder and activity. Forming a new company is often simpler and safer.

Frequently asked questions
Can a holding company buy a SARL-S?
No. A company can never be a shareholder of a SARL-S. To buy through a holding, the SARL-S must first be converted into a standard SARL, with at least €12,000 of capital and a notarial deed.
I already hold shares in a SARL-S: can I take over another one?
Not while remaining a shareholder of the first. An individual can be a shareholder of only one SARL-S at a time. The first must be sold, or the company taken over converted into a SARL.
Why check the source of funds before presenting a company?
Because we take part in the sale of a business entity and apply anti-money laundering obligations. The check also protects the seller, who only shares information with identified buyers.
Is the business permit taken over with the company?
It stays with the company but rests on a qualified and reputable manager. If the manager changes, a new application is made in the successor’s name. We build it into the timetable, or into a condition precedent.
