Definition
The beneficial owner is the individual who ultimately owns or controls the company, in principle by holding more than 25% of the shares or voting rights, directly or through other companies. Failing that, the senior managing officials are declared.

Common mistakes
- Stopping at the corporate shareholder without going up to the individuals who control it.

What does a company risk if it has not declared its beneficial owners?
The Law of 13 January 2019 punishes with a fine of EUR 1,250 to EUR 1,250,000 the entity that fails to declare or declares inaccurate, incomplete or outdated information. A beneficial owner who does not give their information to the company faces the same fine.
Can the RBE be fixed after the one-month deadline?
Yes, and it should be done as soon as possible. A late filing does not erase the past breach, but it ends the irregular situation and restores consistency with the information held by the bank and other professionals.
Who must make the RBE declaration?
The company itself, represented by its managers or by an agent. The beneficial owners must provide it with the necessary information. We file the declaration on your behalf, with a LuxTrust certificate. The company remains responsible for the accuracy of the data declared.
What happens if the LBR considers the declaration non-compliant?
The RBE manager invites the filer to correct it within 15 days. Failing that, it notifies a reasoned refusal, which may be challenged before the president of the competent chamber of the district court. Correcting within the deadline remains the fastest route.
Is the RBE open to the public?
Since the judgment of the Court of Justice of the European Union of November 2022, public access is restricted. National authorities and professionals subject to anti-money laundering obligations keep access within the scope of their duties. The company must still keep its data accurate.
